STANDARD SALES TERMS
ORDER
All orders are final. To be accepted, the possible alterations requested by the purchaser will have to be received in writing
before the goods are dispatched. The prices shown are noted in euros. They are given as an indication only and may be subject
to alteration if need be.

DELIVERY AND RISK TRANSFER
The goods are transported at the risk of the purchaser who, in any case of default or damage, is required to make the necessary
verifications during delivery and to confirm his reservations to the carrier by registered letter or extra-judicial act, within three
days following receipt of goods.

RECEIPT OF GOODS
Without prejudicing the arrangements made with regard to the carrier, complaints concerning apparent defects or non-
compliance of goods delivered with the purchase order or with the dispatch note, must be made in writing to GEODESIS
Parfums within three days following receipt of goods.

RETURNS
Goods may only be returned by formal agreement between GEODESIS Parfums and the purchaser. The purchaser is
responsible for and during transportation.

MEANS AND TERMS OF PAYMENT
Prior to delivery as per proforma invoice.

DELAY OR DEFAULT IN PAYMENT
Non payment of an invoice on date of payment will result, for all current invoices, in immediate due payment. Moreover,
GEODESIS Parfums may suspend all current orders. All sums unpaid after serving notice will give rise to payment of interests
at legal rate increased of a penal clause equal to 10% of the amount of invoice. Deduction of interest and penal clause will be
separately invoiced.

OWNERSHIP RESERVATIONS
GEODESIS Parfums remains the owner of goods sold until full payment of principal and interest has been made, without
prejudicing transfer of risks for loss, deterioration or damage of goods to the buyer once the goods are dispatched.

DISPUTES - APPLICABLE LAW
The commercial Court of Vannes (France) is solely competent to deal with any dispute concerning the present sale. The
substantive laws of France shall be governing law of this contract.

RETAILING CONDITIONS
Sales are authorisez only for clients indentified by GEODESIS PARFUMS as retailers and respecting the minimum orders
imposed by the company. If the commercial guidelines are not respected by the retailer, Geodesis can decide to stop working
with the retailer.

SALES ON INTERNET
GEODESIS PARFUMS can authorise sales on internet on demand of the retailer, ONLY on the website of the shop.
GEODESIS prohibits sales on other websites such as marketplaces. Any sales on those platforms will lead to the end of the
collaboration with GEODESIS PARFUMS.
